India: Advised the Indian government on US$3 billion FPO by India’s largest oil and gas company.
Indonesia: Represented a major regional mining company in a US$37 million insurance claim in a SIAC arbitration following landslide at Indonesian mine.
ASEAN: Advised Coastal Energy Company on various aspects of its acquisition by CEPSA, including due diligence queries regarding its ASEAN assets.
ASEAN: Advised CEPSA on the restructuring and reorganisation of its assets in South East Asia, as well as subsequent management and operations.
ASEAN: Advised a Listed European MNC in its circa USD 1.5B investment into SE Asia, comprising various initiatives in the renewable energy sector.
Brunei: Advised the Promoter in negotiations with a major private equity house for the sale of an energy sector participant in Brunei.
Malaysia: Advised a SPAC (Bursa Malaysia listed) in the due diligence process for the proposed acquisition of five Production Sharing Contract assets in Indonesia.
Middle East: Involved in providing monopolies advice on a sole provider supplied gas network and negotiating and drafting a gas network framework agreement for the implementation of a gas network through a call off mechanism across all Dubai Properties’ projects.
Middle East: Negotiated and drafted the largest global 25-year concession agreement for district cooling with external counsel. Drafted all ancillary documents such as collateral warranties, direct agreement, lease and licence on behalf of Lusail.
Middle East: Provided legal advice on infrastructure projects including asset transfers, project management agreements and cost share agreements with government authorities such as DEWA and RTA. Led the negotiation of a master cooling services agreements and various customer cooling services agreements.
Europe: Advising Qatar Petroleum International and Qatar Electricity and Water Company on their proposed acquisition of 50% of the issued share capital of Ege Gaz A.S.
Europe: Advised a major Portuguese energy player with the refinancing of its facilities agreement for its windfarms in Belgium.
Asia Pacific: Advising Enron on the preparation of a regional bandwidth trading contractual structure.
Europe: Advised Expro on a $1,550m Term Loan B facility, $250m senior secured revolving credit facility and £360m mezzanine facility.
Australia: Represented a junior mining explorer in an IPO including representation on the due diligence committee, reviewing prospectus and mining licences.
