Indicative Experience: Bahrain: Advising on the attempted acquisition of a WiMax operator. Bangladesh: Advising SingTel on its US$118 million acquisition of Pacific Bangladesh Telecom Ltd., Bangladesh’s third-largest mobile operator. Congo Brazzaville: Advising an African operator on its proposed access into the telecommunications market of Congo Brazzaville by way of acquisition. Indonesia: Advising a Malaysian mobile operator in connection with its proposed acquisition of a strategic stake in Indosat. Korea: Advising Alcatel on various JV agreements with local Korean telecoms suppliers. Malaysia: Advising Goldman Sachs on Celcom’s acquisition of TM Cellular Sdn Berhad from Telekom Malaysia Berhad. Nigeria: Advising an African operator on its proposed access into the Nigerian telecommunications market by both acquisition and Greenfield entry. Pan-MENA: Advising a Middle Eastern broadcasting company on the deployment of communications infrastructure throughout the Middle Eastern region. Pan-African: Preparing a precedent network roll-out agreement for a Pan African operator for use across its anticipated 6 operating companies. UAE: Led the drafting, negotiation and execution of a suite of film related agreements for Paramount Pictures during its on-set filming of scenes from the box office hit Mission Impossible 3: Ghost Protocol in the UAE. UAE: Advised a leading satellite broadcaster on the renewal of its channel licensing and distribution arrangements with third party content providers, audited its current broadcasting rights under such arrangements and drafted its new template channel distribution agreement for use with the third-party providers going forward. Africa: Led the negotiations for a software licence, maintenance and services transaction for the acquisition implementation of a code banking system in 16 African countries. Asia Pacific: Advising JPMorgan on numerous International Leased Circuit Agreements and related managed services agreements with international carriers. Thailand: Advising Electro Banque on a US$640 million vendor financing to TA Orange. UK: Advising BT on a multi-billion pound managed IT and property services outsourcing, including related service level agreements (on-site call-out, help desk, reporting, security, etc). India: Advising Enron Broadband Solutions on the construction/operation of a data centre and an Internet exchange in Mumbai. India: Advising Infosys on the preparation of various precedents including a software licensing, development and maintenance agreement for the provision of on-line banking platforms. Africa: Advising LinkAfrica on a satellite capacity and international interconnection agreements in 14 countries, including related service level agreements. Thailand: Advising an international civil works company on the structuring of a turnkey CDMA mobile network build-out project. Asia Pacific: Advising a satellite operator in connection with launch vehicle and satellite construction agreements, launch services agreements, earth station construction/servicing agreements, gateway installation, operation and service agreements, uplink service agreements, and transponder capacity lease and pre-sales agreements. Philippines: Advising Alcatel Philippines on five GSM-related network installation outsourcing contracts. Asia Pacific: Advising C2C in connection with the financing of the roll out and maintenance of its submarine cable network. Asia Pacific: Advising on the refinancing of Reach’s pan-Asian submarine cable network. Thailand: Advising Shin Satellite on its US$390 million financing of the iPSTAR-1 broadband satellite. India: Advising a JV consortium on its exploitation of a concession granted by Maharashtra State Electricity Board (MSEB) for the operation of a fibre optic network across Maharashtra, utilising MSEB’s existing power grid. Saudi Arabia: Advising Etihad Etisalat Company on the deployment of a US$220 million fibre optic network. Saudi Arabia: Advising a Malaysian mobile operator on its proposed bid for the second 2G/3G licences in Saudi Arabia. Malaysia: Advising Telekom Malaysia on its 2004 Reg S 10-year US$500 million bond issue. Asia Pacific: IT aspects of M&A deals including hostile takeovers, trade sales and management buyouts, including IT/IP due diligence, IT/IP warranties, transitional services agreements, hardware transfer agreements, hardware/software support and maintenance agreements, novation agreements, etc.
